1. Who these terms are between
These terms (the “Terms”) are a contract between you (the workspace owner and members, “you”) and Plenitude Systems Private Limited (CIN: U62012TN2026PTC192818), having its registered office in Kallakurichi, Tamil Nadu, India (“FinNilai”, “we”). By signing up, you agree to these Terms. If you don’t agree, don’t use the service.
2. What FinNilai is
FinNilai is a software-as-a-service application for Indian small and medium businesses to issue GST-compliant invoices, record bills and transactions, reconcile bank statements, and generate financial reports. We provide the software; the data you enter and the business decisions you make using it are yours.
3. Your account
- You must be at least 18 years old and authorised to bind the business you sign up for.
- You are responsible for keeping your sign-in credentials and authenticator app secure. We strongly recommend enabling 2FA in Settings → Security.
- One account is for one human. You may not share your sign-in credentials with other people to avoid buying seats. Each teammate who needs access should be invited from Settings → Team so their actions are attributed correctly. We track active sessions (device, IP, last-seen time) for every account and may reach out or suspend service if we detect patterns consistent with credential sharing.
- Support access. By using FinNilai you allow our support team to view your workspace when you contact us for help or when we detect a data-integrity issue. Every such access requires a written reason from the staff member, is logged in your Settings → Audit log, and triggers an email to the workspace owner. If you prefer to disable staff support access (understanding that this limits our ability to reproduce and fix issues), you may do so in Settings → Compliance.
- Chartered Accountant access. If you invite a CA firm from Settings → Team, its members can read your books and add advisory notes for as long as the link is active. CAs cannot mutate financial records; every CA action is logged and visible to you. You can revoke a CA firm’s access at any time, which also ends any live viewing session immediately.
- You are responsible for the activity of every team member you invite. Their actions count as your actions for the purpose of these Terms.
- You are responsible for the accuracy of the data you enter, including GSTINs, HSN codes, line item descriptions, and tax rates. FinNilai validates format but cannot verify business truth.
4. Plans, trial & billing
- FinNilai has two plans: Free (permanent, with fair-use caps of 20 issued invoices per calendar month, 1 user, and 100 MB of file attachments — logos and receipts) and Business (paid, no caps, all features). Invoice / bill / ledger data is not counted against the attachment quota. The current price list and detailed feature breakdown is on the in-app pricing page.
- Every new signup gets 14 days of Business features free — no card, no auto-charge. When the trial ends and you haven’t subscribed, your workspace soft-lands on the Free plan; your data remains accessible and the fair-use caps apply from that point on.
- Business subscriptions auto-renew at the end of each billing cycle unless cancelled before the renewal date.
- All prices are exclusive of GST. GST is charged at 18% (or as applicable on the date of issue) on top of the listed price and shown on your invoice.
- Billing is processed by Razorpay. By subscribing, you authorise Razorpay to charge your registered payment instrument on each renewal date.
- Payment failure: if a renewal payment fails, your subscription will be marked past due. We’ll retry per Razorpay’s standard cadence. If unresolved, the workspace enters a grace period during which write operations may be blocked.

5. Acceptable use
You agree not to:
- Use FinNilai to generate false or fraudulent invoices, evade taxes, or hide business activity from regulatory authorities.
- Upload malware, attempt to compromise the service, reverse- engineer protected portions of it, or evade rate limits.
- Use the service to send unsolicited bulk email, spam, or content that violates Indian law (defamatory, obscene, illegal under the IT Act or any other law in force).
- Resell, sublicence, or wrap FinNilai under your own brand without a written agreement with us.
- Impersonate FinNilai staff or another customer.
Violations may result in suspension or termination of your account without refund.
6. Your data, our rights
You own the business data you enter into FinNilai. We process it on your behalf to deliver the service per our privacy policy. We do not sell your data, do not use it to train external models, and do not share it with marketing partners.
We retain a non-exclusive license to use anonymised, aggregated data (e.g. “average invoice value across active SMBs in Q3”) for product analytics and external benchmarking. No identifiable customer data leaves the service through this route.
7. Service availability
We aim for 99.5% monthly uptime measured at the application layer. Planned maintenance is announced via the in-app banner at least 24 hours in advance. We do not offer a contractual SLA on the default subscription tiers; an SLA can be negotiated separately on enterprise terms.
8. Third-party services
FinNilai integrates with Razorpay (payments), Hostinger (email), Supabase (database/auth/storage), the GST e-invoice portal, and the e-way bill portal. Outages or changes by these providers may affect FinNilai. We are not responsible for the operation of third-party services, but will work in good faith to minimise disruption.
9. Intellectual property
FinNilai, including the software, design, brand, and documentation, is our property and protected by Indian and international copyright and trademark law. These Terms grant you a non-exclusive, non-transferable right to use FinNilai during your subscription — nothing more.
10. Disclaimers
FinNilai is provided “as is”. We do not warrant that the service will be error-free, uninterrupted, or fit for any particular purpose beyond what is described. FinNilai is not a substitute for professional tax, accounting, or legal advice. You should review tax filings, financial reports, and GST returns generated by the system with a qualified professional before relying on them for statutory filings.
11. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability for any claim arising under or in connection with these Terms is limited to the amount you paid us in subscription fees in the 12 months immediately preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, revenue, business, or data.
12. Indemnity
You agree to indemnify and hold us harmless against claims arising from your misuse of the service, breach of these Terms, or violation of applicable law including the GST Act, Income-tax Act, IT Act, and DPDP Act.
13. Termination
You can cancel at any time from Settings → Subscription. We may suspend or terminate your access for unpaid invoices, breach of these Terms, or where required by law. On termination, your data is retained for 90 days per our privacy policy and then permanently deleted.
14. Governing law & jurisdiction
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts within Tamil Nadu, India.
15. Changes to these Terms
We may revise these Terms from time to time. Material changes will be notified by email and an in-app banner at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
